SSG Capital Advisors, LLC (“SSG”) and Statesman Corporate Finance, LLC (“Statesman”), acted as the investment bankers to HealthBridge Children’s Hospital – Orange, CA, L.P. (“HealthBridge”) in the sale of substantially all of its assets to an affiliate of Vivra Specialty Care, LLC (“Vivra”). The transaction closed in September 2020.

Established in 2000 and based in Orange, California, HealthBridge is a pediatric specialty hospital focused on providing acute pediatric care to children recovering from serious brain injury, acute illness or other life altering diseases. The hospital has a distinct skilled nursing facility unit approved by the State of California to provide both acute and sub-acute care to medically complex and technology-dependent children.

With a significant demand for pediatric care in Southern California, the 27-bed facility has experienced consistent high occupancy rates and profitability over its history. After remaining a family-owned pediatric specialty hospital for nearly 20 years, its owners decided to explore strategic alternatives in order to continue the hospital’s current success, and drive growth.

SSG and Statesman were retained by HealthBridge-Orange to conduct a comprehensive marketing process and solicit offers for the hospital from a broad universe of strategic and financial buyers. The process attracted significant interest from several parties that engaged in a thorough review of HealthBridge-Orange and submitted offers for the hospital. The offer from Vivra ultimately generated the best outcome for the owners and provides a platform for the future success of the pediatric specialty hospital and skilled nursing facility.

Vivra offers advanced, specialized rehabilitation with one-on-one physical, occupational, speech, and respiratory therapy performed in a non-institutional setting. With facilities in California and Illinois, their mission is to strike a much-needed balance between high quality and trustworthy care and the most positive patient outcomes possible. Their well-trained professionals, state-of-the-art clinical treatments, and therapeutic tools provide an essential bridge to greater independence for their patients.

Other professionals who worked on the transaction include:

  • Susan E. Pravda, Jonathan H. Gabriel, Claire Marblestone and Eric J. Risley, Jr. of Foley & Lardner LLP, counsel for HealthBridge Children’s Hospital-Orange, CA, L.P.; and
  • Laurence D. Rich, General Counsel for Vivra Specialty Care, LLC.
